Terms of Use

Welcome to co-interview. These Terms of Use ("Terms") govern your access to and use of the services, websites, and applications (collectively, the "Service") provided by [Company Legal Name] ("co-interview," "we," "us," or "our").

By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to agree to these Terms on their behalf.

1Registration and Account Security

Eligibility:

You must be at least 13 years old to use the Service. If you are under 18, you must have your parent's or legal guardian's permission to use the Service.

Account Information:

You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

Account Responsibility:

You are responsible for safeguarding your account credentials. You may not share your credentials with anyone else, and you are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2Content and Intellectual Property Rights

Definitions:

  • "Input" refers to any data, information, text, prompts, or other materials you provide to the Service.
  • "Output" refers to any text, code, or other content generated by the Service in response to your Input.
  • "AI Content" refers to Input and Output collectively.

Ownership of Input:

As between you and co-interview, you retain all ownership rights in your Input.

Ownership of Output:

Subject to your compliance with these Terms, co-interview hereby assigns to you all its right, title, and interest in and to the Output. This allows you to use the Output for any purpose, including commercial purposes, provided you comply with these Terms.

Similarity of Content:

Due to the nature of artificial intelligence, Output may not be unique. Other users may provide similar Input and receive the same or similar Output. The rights assigned to you above do not extend to the Output generated for other users.

License Grant to co-interview:

To operate and provide the Service, you grant co-interview a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and communicate your AI Content as necessary to provide, maintain, and improve the Service, comply with applicable law, and enforce our policies.

Feedback:

If you choose to provide suggestions, ideas, or feedback to co-interview, you grant us a perpetual, irrevocable, royalty-free, and sublicensable license to use, copy, modify, and incorporate that feedback into our Service or business operations without any obligation or compensation to you.

3Data Use for AI Model Training

You acknowledge and agree that co-interview may use AI Content to train and enhance its AI models. This right is subject to the following condition: co-interview will only use AI Content for this purpose when it is in an aggregated and anonymous format, such that neither you nor any other individual or entity can be identified or identifiable. This policy applies to all users of the Service.

4Acceptable Use Policy

You agree not to use the Service to:

  • Engage in any illegal, harmful, or abusive activity.
  • Infringe on, misappropriate, or violate the rights of any third party, including intellectual property, privacy, or publicity rights.
  • Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying components of the Service's models, algorithms, and systems.
  • Use Output to develop artificial intelligence models that compete with co-interview.
  • Misrepresent that Output was generated by a human when it was not.
  • Transmit any viruses, malware, or other malicious code.
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate your account for any violation of this policy.

5Fees, Billing, and Financial Responsibility

Responsibility for Fees:

You agree to pay all applicable fees and taxes for the Service. All fees are non-refundable, except as required by law. If your payment method fails, we reserve the right to suspend your access to the Service or downgrade your account until payment is completed.

Usage-Based Billing:

Our fees are based on your consumption of the Service. You will be charged based on the usage as calculated by our systems. You agree that co-interview's usage metrics are the definitive source for calculating your fees and will be the basis for billing.

Responsibility for Invited Users:

As a user who initiates an interview session (the "Interview Host"), you are solely responsible for all fees and expenses incurred during any session you host. This includes any charges from third-party model providers based on the usage of Input and Output tokens by both you and your invited candidates ("Invited Candidates").

Account Responsibility and Financial Liability:

As stated in Section 1, you are responsible for all activities that occur under your account, including all financial activity. You are contractually obligated to safeguard your account credentials. If an unauthorized party gains access to your account and incurs charges, you are fully responsible for those charges. Furthermore, you are fully responsible for the actions and conduct of any Invited Candidate you invite to the Service. Any misuse, abuse, or improper conduct by an Invited Candidate will be considered a violation by you, and you will be held fully responsible for any resulting costs, damages, or liabilities.

6Disclaimers, Warranties, and Beta Services

General Disclaimer:

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CO-INTERVIEW AND ITS SUPPLIERS EXPLICITLY DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

No Guarantee of Performance:

CO-INTERVIEW DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Accuracy and Professional Advice:

YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE SERVICE AND ANY RELIANCE ON THE OUTPUT. YOU UNDERSTAND THAT OUTPUT MAY BE INACCURATE, INCOMPLETE, OR REFLECT OUTDATED INFORMATION. OUTPUT SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

Beta Services:

We may offer certain features as "beta" or "experimental." These features are provided "AS-IS" and may be modified or discontinued at any time without notice.

7Responsibility for Hiring and Employment Decisions

You acknowledge that the Service is a tool designed to assist in the evaluation process and does not make hiring decisions. The Output provided by the Service must not be used as the sole basis for making employment-related decisions, including but not limited to hiring, promotion, or termination. You are solely responsible for all hiring and employment decisions and for ensuring that your use of the Service complies with all applicable laws, including those related to equal employment opportunity, anti-discrimination, and fairness. co-interview is not responsible for any bias, discrimination, or lack of fairness in your hiring process. You agree that you are fully and solely responsible for any legal consequences arising from any employment decision or judgment made using our Service.

8Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CO-INTERVIEW, ITS AFFILIATES, AGENTS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

CO-INTERVIEW WILL NOT BE RESPONSIBLE FOR ANY LOSS OR DAMAGE RESULTING FROM DATA LOSS, PRODUCTION IMPACT, OR ANY POTENTIAL HARM GENERATED BY THIRD-PARTY MODELS. YOU ARE FULLY RESPONSIBLE FOR THE USE OF ANY RESULTS FROM THE SERVICE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, CO-INTERVIEW'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT OF FEES YOU PAID TO CO-INTERVIEW FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

9Indemnification

You agree to defend, indemnify, and hold harmless co-interview and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Input or Output caused damage to a third party.

10Service Level and Reliability

co-interview does not provide any service level agreement (SLA) or guarantee of uptime or reliability for the Service, except as may be separately agreed upon in a written enterprise agreement. The Service may be unavailable from time to time for maintenance or other reasons.

11Term and Termination

These Terms will remain in effect until terminated. You may terminate these Terms at any time by deleting your account and ceasing to use the Service. We may suspend or terminate your access to the Service at any time, for any reason, including for a violation of these Terms.

12General Provisions

Entire Agreement:

These Terms constitute the entire agreement between you and co-interview regarding the Service.

Changes to Terms:

We may modify these Terms from time to time. We will provide notice of changes by posting the new Terms and updating the "Effective Date." Your continued use of the Service after the effective date constitutes your acceptance of the new Terms.

Severability:

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
